2. Scope
These Terms apply to purchases of digital products, licences and related digital materials sold through Qualidact. Product-specific information shown on the product page and at checkout forms part of the agreement.
3. Ordering and contract formation
Orders are placed through Stripe Checkout. A contract is formed when payment is successfully completed and the order is accepted for delivery. Qualidact may cancel and refund an order where there is an obvious pricing or technical error, suspected misuse, or where the purchase does not meet the business-customer requirement.
4. Prices and taxes
Prices are stated in the currency shown at checkout. Applicable VAT or other transaction taxes are handled according to the customer information and tax treatment presented at checkout. Business customers are responsible for providing accurate company, billing and VAT/tax-identification information when requested.
5. Digital delivery
Products are delivered digitally after Stripe confirms payment. Access may be provided through a secure download page or other electronic delivery method. The customer is responsible for providing a valid email address and for keeping any purchase or download link confidential.
If delivery fails because of a Qualidact technical error, contact hello@qualidact.com. Qualidact will first attempt to restore access or provide a replacement copy.
6. Individual licence
Unless the product page states otherwise, an Individual licence grants one named purchaser a non-exclusive, non-transferable right to use the purchased product for that person's own professional work.
You may:
- use the product and its methodology in your own professional work;
- complete, print or store working copies for your own use;
- use your completed checklists, notes and outputs internally in projects.
You may not:
- share, upload, publish or distribute the original product file to other users;
- resell, sublicense or make the product available as a competing or stand-alone product;
- remove copyright, brand or licence notices;
- reproduce substantial parts of the product for external distribution without written permission.
7. Team licence
Where a Team licence is purchased, Qualidact grants the purchasing organisation a non-exclusive, non-transferable right for up to five named professional users within the same legal organisation to use the purchased product internally.
Licensed team users may share the original toolkit and blank templates only with the other named users covered by the same Team licence. The product may not be distributed outside the licensed organisation, resold, sublicensed, published or made available as a shared public or organisation-wide resource. Use by more than five named users requires an additional or organisation-wide licence from Qualidact.
8. Intellectual property
All intellectual-property rights in Qualidact products, branding, layouts, original text, frameworks and downloadable files remain with Qualidact or the relevant rights holder. Purchasing a product transfers a licence to use it; it does not transfer ownership of the intellectual property.
9. Updates
A purchase covers the version supplied at the time of purchase unless the product description expressly includes future updates. Qualidact may improve, replace or discontinue products without creating an obligation to provide future versions free of charge.
10. Refunds and remedies
Because Qualidact sells immediately delivered digital products to business and professional customers, purchases are generally final once access has been provided. Exceptions for duplicate charges, failed delivery, materially corrupted files or other Qualidact errors are described in the Digital Delivery & Refund Policy. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.
11. Professional-use disclaimer
Qualidact products are general workflow, learning-design and quality-assurance tools. They do not constitute legal, tax, regulatory, medical, safety or other regulated professional advice. They do not guarantee factual accuracy, regulatory compliance, learning outcomes or business results. The customer remains responsible for professional judgement, source verification, specialist review and final release decisions.
12. Liability
To the maximum extent permitted by applicable law, Qualidact is not liable for indirect, consequential or special loss, loss of profit, loss of data or business interruption arising from use of a digital product. Qualidact's aggregate liability relating to a specific order will not exceed the amount paid for that order, except where such a limitation is prohibited by law.
13. Governing law and disputes
These Terms are governed by Swedish law. Any dispute that cannot be resolved through good-faith discussion will be submitted to the competent courts of Sweden, subject to any mandatory rules that apply.
14. Changes to these Terms
The Terms that apply to an order are the version made available at the time of purchase. Qualidact may update these Terms for future orders. The date above shows the latest revision.
